Thousands of business owners turn to online services when looking to save on the cost of forming their corporation or LLC. To form an LLC or corporation that may create potential exposure to loss of the new business owner's personal assets, many services offer simple, inexpensive but often incomplete packages.

CenterPoint Corporate Services, Inc., as an active response to demand for comprehensive organizational services, launched its new small business web community. The CenterPoint website can be used to create LLCs and corporations. It combines the ease and affordability of online formation with the completeness one expects from a corporate law firm.

Entrepreneurs, frequently utilize online services to form a corporation or LLC. By choosing the online alternative businesses can save thousands of dollars. However, a review of online site offerings reveals that many business owners form a corporation or LLC and may not get the protections that they want and need.

E. Alan Tiras, Esq., a Nevada corporate attorney says: "Filing the Articles is just the first step in a comprehensive asset protection strategy". "A court will look closely at whether a corporation or LLC is undertaking all the necessary and customary formalities of running a business to establish the strength of what is called the 'corporate shield'."

Areas of concern include: bylaws or operating agreements, a business license in the state where they are organized and where they have a physical presence, a separate bank account so that business funds are not commingled with the owners' personal funds, annual filings, and a physical location in the state of formation. Business owners may leave their assets unprotected and risk losing their home, savings, and cars in a lawsuit, if these formalities aren't followed.
